銷售貨物合同SALESCONTRACT合同編號：ContractNO:簽訂地點(diǎn)：Signedat:簽訂日期：Date:買方：TheBuyers：賣方：TheSellers：雙方同意按下列條款由買方售出下列商品：TheBuyersagreetobuyandtheSellersagreetosellthefollowinggoodsontermsandconditionsassetforthbelow：（1）商品名稱、規(guī)格及包裝（1）NameofCommodity,SpecificationsandPacking（2）數(shù)量（2）Quantity（3）單價（3）UnitPrice（4）總值（4）TotalValue（裝運(yùn)數(shù)量允許有%的增減）（ShipmentQuantity%moreorlessallowed）（5）裝運(yùn)期限：（5）TimeofShipment：（6）裝運(yùn)口岸：（6）Portofloading：（7）目的口岸：（7）PortofDestination：（8）保險；由方負(fù)責(zé)，按本合同總值110%投保_____險。（8）Insurance：Tobecoveredbythe___for110%oftheinvoicevalueagainst_______.（9）付款：憑保兌的、不可撤銷的、可轉(zhuǎn)讓的、可分割的即期有電報套匯條款/見票/出票____天期付款信用證，信用證以_____為受益人并允許分批裝運(yùn)和轉(zhuǎn)船。該信用證必須在______前開到賣方，信用證的有效期應(yīng)為上述裝船期后第15天，在中國______到期，否則賣方有權(quán)取消本售貨合約，不另行通知，并保留因此而發(fā)生的一切損失的索賠權(quán)。（9）TermsofPayment：Byconfirmed,irrevocable,transferableanddivisibleletterofcreditinfavourof_____payableatsightwithTTreimbursementclause/___days’/sight/dateallowingpartialshipmentandtransshipment.ThecoveringLetterofCreditmustreachtheSellersbefore_____andistoremainvalidin_____.Chinauntilthe15thdayaftertheaforesaidtimeofshipment,failingwhichtheSellersreservetherighttocancelthisSalesContractwithoutfurthernoticeandtoclaimfromtheBuyersforlossesresultingtherefrom.（10）商品檢驗(yàn)：以中國________所簽發(fā)的品質(zhì)/數(shù)量/重量/包裝/衛(wèi)生檢驗(yàn)合格證書作為賣方的交貨依據(jù)。（10）Inspection：TheInspectionCertificateofQuality/Quantity/Weight/Packing/Sanitationissuedby_______ofChinashallberegardedasevidenceoftheSellers’delivery.（11）裝運(yùn)嘜頭：（11）ShippingMarks：其他條款：OTHERTERMS：1.異議：品質(zhì)異議須于貨到目的口岸之日起30天內(nèi)提出，數(shù)量異議須于貨到目的口岸之日起15天內(nèi)提出，但均須提供經(jīng)賣方同意的公證行的檢驗(yàn)證明。如責(zé)任屬于賣方者，賣方于收到異議20天內(nèi)答復(fù)買方并提出處理意見。1.Discrepancy：Incaseofqualitydiscrepancy,claimshouldbelodgedbytheBuyerswithin30daysafterthearrivalofthegoodsattheportofdestination,whileforquantitydiscrepancy,claimshouldbelodgedbytheBuyerswithin15daysafterthearrivalofthegoodsattheportofdestination.Inallcases,claimsmustbeaccompaniedbySurveyReportsofRecognizedPublicSurveyorsagreedtobytheSellers.ShouldtheresponsibilityofthesubjectunderclaimbefoundtorestonthepartoftheSellers,theSellersshall,within20daysafterreceiptoftheclaim,sendtheirreplytotheBuyerstogetherwithsuggestionforsettlement.2.信用證內(nèi)應(yīng)明確規(guī)定賣方有權(quán)可多裝或少裝所注明的百分?jǐn)?shù)，并按實(shí)際裝運(yùn)數(shù)量議付。（信用證之金額按本售貨合約金額增加相應(yīng)的百分?jǐn)?shù)。）2.ThecoveringLetterofCreditshallstipulatetheSellers’soptionofshippingtheindicatedpercentagemoreorlessthanthequantityherebycontractedandbenegotiatedfortheamountcoveringthevalueofquantityactuallyshipped.(TheBuyersarerequestedtoestablishtheL/CinamountwiththeindicatedpercentageoverthetotalvalueoftheorderasperthisSalesContract.)3.信用證內(nèi)容須嚴(yán)格符合本售貨合約的規(guī)定，否則修改信用證的費(fèi)用由買方負(fù)擔(dān)，賣方并不負(fù)因修改信用證而延誤裝運(yùn)的責(zé)任，并保留因此而發(fā)生的一切損失的索賠權(quán)。3.ThecontentsofthecoveringLetterofCreditshallbeinstrictconformitywiththestipulationsoftheSalesContract.IncaseofanyvariationthereofnecessitatingamendmentoftheL/C,theBuyersshallbeartheexpensesforeffectingtheamendment.TheSellersshallnotbeheldresponsibleforpossibledelayofshipmentresultingfromawaitingtheamendmentoftheL/CandreservetherighttoclaimfromtheBuyersforthelossesresultingtherefrom.4.除經(jīng)約定保險歸買方投保者外，由賣方向中國的保險公司投保。如買方需增加保險額及/或需加保其他險，可于裝船前提出，經(jīng)賣方同意后代為投保，其費(fèi)用由買方負(fù)擔(dān)。4.ExceptincaseswheretheinsuranceiscoveredbytheBuyersasarranged,insuranceistobecoveredbytheSellerswithaChineseinsurancecompany.Ifinsuranceforadditionalamountand/orforotherinsurancetermsisrequiredbytheBuyers,priornoticetothiseffectmustreachtheSellersbeforeshipmentandissubjecttotheSellers’agreement,andtheextrainsurancepremiumshallbefortheBuyers’account.5.因人力不可抗拒事故使賣方不能在本售貨合約規(guī)定期限內(nèi)交貨或不能交貨，賣方不負(fù)責(zé)任，但是賣方必須立即以電報通知買方。如果買方提出要求，賣方應(yīng)以掛號函向買方提供由中國國際貿(mào)易促進(jìn)委員會或有關(guān)機(jī)構(gòu)出具的證明，證明事故的存在。買方不能領(lǐng)到進(jìn)口許可證，不能被認(rèn)為系屬人力不可抗拒范圍。5.TheSellersshallnotbeheldresponsibleiftheyfail,owingtoForceMajeurecauseorcauses,tomakedeliverywithinthetimestipulatedinthisSalesContractorcannotdeliverthegoods.However,theSellersshallinformimmediatelytheBuyersbycable.TheSellersshalldelivertotheBuyersbyregisteredletter,ifitisrequestedbytheBuyers,acertificateissuedbytheChinaCouncilforthePromotionofInternationalTradeorbyanycompetentauthorities,attestingtheexistenceofthesaidcauseorcauses.TheBuyers’failuretoobtaintherelativeImportLicenceisnottobetreatedasForceMajeure.6.仲裁：凡因執(zhí)行本合約或有關(guān)本合約所發(fā)生的一切爭執(zhí)，雙方應(yīng)以友好方式協(xié)商解決；如果協(xié)商不能解決，應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會，根據(jù)該會的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的，對雙方都有約束力。6.Arbitration：AlldisputesarisinginconnectionwiththisSalesContractortheexecutionthereofshallbesettledbywayofamicablenegotiation.Incasenosettlementcanbereached,thecaseatissueshallthenbesubmittedforarbitrationtotheChinaInternationalEconomicandTradeArbitrationCommissioninaccordancewiththeprovisionsofthesaidCommission.TheawardbythesaidCommissionshallbedeemedasfinalandbindinguponbothparties.7.附加條款（本合同其他條款如與本附加條款有抵觸時，以本附加條款為準(zhǔn)。）：7.SupplementaryCondition(s)(Shouldtheart
